Investors in SilverBox Corp IV are heading to a vote this Tuesday to decide the future of their Bitcoin SPAC deal with Parataxis Holdings. The company is asking shareholders to approve a four month extension that would push their deadline from August 19 to December 19. Even if the vote passes, the SPAC faces a major hurdle as shareholders look to pull their money out of the $217 million trust fund tied to the deal.

This vote is not about the merger itself, but rather about keeping the business combination alive. Shareholders have the right to redeem their shares regardless of how they cast their vote. SilverBox warned that after these redemptions take place, the amount of cash remaining in the trust could be a small fraction of its current total.

To move forward, the deal requires at least $25 million in net cash to close. With the original August 6 deadline for the merger agreement having already passed, the future of the partnership remains uncertain. If the proposed amendments fail and no deal is reached by August 19, the firm will be forced to shut down and liquidate its assets.
